The general terms and conditions apply to all services offered by JAZYKOVÁ ŠKOLA Uničov. Specific general terms and conditions apply to each service. These general terms and conditions of JAZYKOVÁ ŠKOLA, with its registered office in Uničov, are valid from 8 August 2026.

The Uničov Language School is registered in the Commercial Register of the Ostrava Chamber of Commerce under number C 59254. Its VAT number is CZ03122930.

General Terms and Conditions for All Services

This section of the general terms and conditions applies to all our services.

These General Terms and Conditions of JAZYKOVÁ ŠKOLA, with its registered office in Unicov, are valid from 8 August 2026.

Applicability


  1. These general terms and conditions apply to all offers, quotations and agreements made and/or entered into by JAZYKOVÁ ŠKOLA, including the outsourcing of work to third parties.

  2. Any provisions that deviate from these terms and conditions and/or the client's general terms and conditions shall only apply to such quotations and/or agreements if and insofar as JAZYKOVÁ ŠKOLA has expressly accepted their applicability in writing.

Definition of terms

  1. JAZYKOVÁ ŠKOLA is a limited liability company. JAZYKOVÁ ŠKOLA provides corporate language courses for closed groups, corporate group courses, general private language courses, private group courses and translation services.

Offers, Conclusion of Contracts

  1. General offers and general quotations provided by JAZYKOVÁ ŠKOLA are non-binding. JAZYKOVÁ ŠKOLA is only bound once it has accepted an order.

  2. JAZYKOVÁ ŠKOLA may regard the person who has placed an order with it as the client, unless that person expressly states that they are acting under a power of attorney, on behalf of and for the account of a third party, and provided that the name and address of that third party have been communicated to JAZYKOVÁ ŠKOLA at the same time.

  3. Agreements and undertakings made by representatives or employees of JAZYKOVÁ ŠKOLA shall only be binding on JAZYKOVÁ ŠKOLA once JAZYKOVÁ ŠKOLA has expressly confirmed them in writing.

  4. Where an order is placed by more than one person, each of them shall bear joint and several liability for the sums owed to JAZYKOVÁ ŠKOLA under this order. Where an order is placed by a natural person on behalf of a legal entity, that natural person is also a private contracting party, provided that the natural person can be regarded as a (co-)decision-maker of that legal entity. In the event of non-payment by the legal entity, this natural person is therefore personally liable for the payment of the invoice, regardless of whether the invoice was issued, at the client's request, in the name of the legal entity or in the name of the client as a natural person.

Changes to / Cancellation of Orders

  1. If, after the contract has been concluded, the client makes changes to the order that are not merely minor in nature, JAZYKOVÁ ŠKOLA is entitled to adjust the deadline and/or the fee, or, where appropriate, to ultimately refuse the order. In the latter case, the client is obliged to pay for the part of the order that has already been completed.
  2. If the client cancels the order, they are obliged to pay for the part of the order already completed, as well as a fee based on the hourly rate for any research work already carried out in relation to the remaining part.
  3. If JAZYKOVÁ ŠKOLA has set aside time to carry out the order, it may charge the client compensation amounting to 50% of the fee for the uncompleted part of the order.

Performance of Contracts, Confidentiality

  1. JAZYKOVÁ ŠKOLA is obliged to perform the contract to the best of its knowledge and ability, and with due professional expertise, for the purpose specified by the client. JAZYKOVÁ ŠKOLA shall treat all information provided by the client as strictly confidential. JAZYKOVÁ ŠKOLA shall require its employees to maintain confidentiality. However, JAZYKOVÁ ŠKOLA shall not be liable for any breach of confidentiality by its employees if it can demonstrate that it was unable to prevent such a breach.

  2. Unless expressly agreed otherwise, JAZYKOVÁ ŠKOLA shall be entitled to have the contract (jointly) performed by a third party, without this affecting JAZYKOVÁ ŠKOLA's liability for maintaining confidentiality and the proper performance of the contract. JAZYKOVÁ ŠKOLA shall require the said third party to maintain confidentiality.

Fees and Payment

  1. All rates quoted are excluded from VAT or are exempt from VAT. A minimum charge of 400 CZK applies to each order. For translations, the minimum charge is 400 CZK per language pair.

  2. The price quoted by JAZYKOVÁ ŠKOLA for the service provided applies exclusively to the service in accordance with the agreed specifications.

  3. JAZYKOVÁ ŠKOLA is entitled to issue invoices both before work commences and whilst work is in progress. Payments must be made no later than 30 calendar days from the date of issue of the invoice (or within any other period specified in writing by JAZYKOVÁ ŠKOLA), without any discount, set-off or deferral, in the currency in which the invoice is issued. In the event of late payment, the client shall immediately and without further notice be in default; in such a case, the client shall be obliged to pay statutory commercial interest on the invoice amount from the date of default until full payment has been made.

  4. In the event of out-of-court recovery costs, a rate of 15% of the principal amount shall apply, subject to a minimum of 2,000 CZK per invoice. This obligation shall also serve as a contractual penalty.

Termination

  1. Should the Client fail to fulfil their obligations, or in the event of their insolvency, suspension of payments or liquidation, JAZYKOVÁ ŠKOLA shall be entitled, without any liability for damages, to terminate the contract in whole or in part, or to suspend its performance. In such a case, JAZYKOVÁ ŠKOLA may demand immediate payment of the amount due to it.

  2. If, for reasons beyond its control, JAZYKOVÁ ŠKOLA is no longer able to fulfil its obligations, it shall be entitled to terminate the contract without being liable to pay any compensation. Such circumstances include, but are not limited to, fire, accident, illness, strike, civil unrest, war, transport disruptions, measures taken by state authorities, disruptions to the services of internet service providers, or other circumstances over which JAZYKOVÁ ŠKOLA has no control.

  3. However, should JAZYKOVÁ ŠKOLA be forced to suspend further performance as a result of force majeure, it reserves the right to payment for work carried out up to that point, as well as for costs incurred and advance payments made.

  4. Should the above circumstances lead to a refund of sums already received for services not provided, the refund will be made within 14 calendar days. Even if a refund of tuition fees is agreed for other reasons, this amount will be transferred to the client within 14 days.

Copyright

  1. Unless expressly agreed otherwise in writing, JAZYKOVÁ ŠKOLA shall hold the copyright to translations and other texts produced by JAZYKOVÁ ŠKOLA.

  2. The Client indemnifies JAZYKOVÁ ŠKOLA against any claims by third parties arising from an alleged infringement of property rights, patent rights, copyright or other intellectual property rights in connection with the performance of the contract.

Governing Law

  1. The legal relationship between the client and JAZYKOVÁ ŠKOLA is governed by Czech law.

  2. Any disputes of any nature between JAZYKOVÁ ŠKOLA and its clients may be heard exclusively by the court in Olomouc.

General Data Protection Regulation

  1. By agreeing to the general terms and conditions, the client also agrees to JAZYKOVÁ ŠKOLA's Privacy Policy.


 

Specific Terms and Conditions for private group courses with open enrolment

These specific terms and conditions apply to all our group courses.

These Specific Terms and Conditions shall apply with effect from 8 August 2026.

1. You can enroll on one of our language courses via our website.

2. Our language courses consist of 16 one-hour lessons and have two fixed start dates: late September/early October and late January/early February.

3. Language courses are held in small groups with a minimum of 2 and a maximum of 6 participants, so that we can guarantee a personalized approach and tailor the teaching to your needs.

4. The aim of our group courses is to improve general conversational and listening skills through dialogues, role-plays and discussions. In addition, we also focus on functional grammar, reading and writing.

5. The price is 3,700 CZK per participant for a course comprising 16 one-hour lessons. This amount is exclusive of VAT and does not include teaching materials. You must order the teaching materials yourself.

6. The days on which individual languages are offered are subject to change. The timetable depends on the number of participants and the number of participants at each level. The final timetable may therefore differ from the original one.

7. At least one week before the course begins, you will be informed whether the language course will definitely go ahead, and you will receive further details regarding the course dates, times, teaching materials, venue and invoice.

8. The invoice may only be issued in the name of the course participant and must be paid within 14 days of receipt. Furthermore, the registration is linked to the participant's name and is non-transferable.

9. From the date of enrolment, as a private individual, you have a statutory right to a 14-day cooling-off period. During this period, you may cancel your enrolment free of charge, transfer it to another course or postpone it to the next available date. You must notify us of this in writing.

10. Once the 14-day cooling-off period has expired, the full course fee will be charged in the event of cancellation. You are also obliged to pay the full course fee in the event of cancellation up to 14 days before the course begins.

11. Once the course has started, course fees are non-refundable. This also applies in the event of early withdrawal. It is no longer possible to transfer (even partially) to a different course date.

12. After the first lesson of the course, you may, if necessary, switch to another course at a different level on a one-off basis, provided that this course is taking place and there are still places available. The course can only be taken on the same course dates.

13. It is not possible to make up for missed lessons. However, the teacher will inform you of the material covered and any homework assignments, so that you always have the opportunity to study the material independently.

14. If a lesson is cancelled due to unforeseen circumstances, the tutor will arrange an alternative date as soon as possible in consultation with the group. This is usually one of the alternative dates announced in advance.

15. If, due to circumstances beyond our control, a face-to-face language course cannot take place, it may be replaced by an online course.

16. The copyright to the teaching materials belongs to JAZYKOVÁ ŠKOLA. Except for the course participant's own use, the materials may not be reproduced, stored in an automated database or published in any form or by any means without the prior written consent of JAZYKOVÁ ŠKOLA.

17. JAZYKOVÁ ŠKOLA reserves the right to cancel or postpone a course in the event of insufficient interest. In such a case, we will first offer an alternative. If the alternative is not suitable, you will receive a full refund of the course fee.

18. JAZYKOVÁ ŠKOLA does not issue certificates of attendance.

19. If the JAZYKOVÁ ŠKOLA is no longer able to fulfil its obligations for reasons beyond its control, it shall be entitled to terminate the contract without being liable to pay any compensation. Such circumstances include, in particular but not exclusively, fire, accident, illness, strike, civil unrest, war, transport restrictions, measures taken by state authorities, disruptions to the services of internet service providers, or other circumstances over which the Language School has no control.

20. Should the JAZYKOVÁ ŠKOLA be forced to suspend further performance of the contract as a result of force majeure, it reserves the right to claim payment for work already carried out and costs incurred.

21. The language school will carefully store all information provided by course participants and treat it as confidential in accordance with the Personal Data Protection Act.

22. In the event of late payment, you will be in default, in which case you are obliged to pay statutory commercial interest on the invoice amount from the date of default until full payment has been made.

23. In the event of out-of-court debt recovery costs, a recovery fee of 15% of the principal amount shall apply, subject to a minimum of 2,000 CZK per invoice. This obligation also serves as a contractual penalty.
